1. Introduction
These Terms of Business govern the recruitment services provided by Fully Staffed (“the Agency”) to clients seeking domestic and household staff placements.
By engaging, requesting Candidate profiles, or proceeding with interviews, the Client agrees to be bound by these Terms.
2. Services
The Agency provides domestic staff recruitment and placement services, including:
- Nannies
- Housekeepers
- Private Chefs
- Chauffeurs
- Estate Managers
- Other household staff roles
The Agency acts solely as an introducer and recruitment consultancy and is not the employer of any Candidate.
3. Client Acceptance
Client acceptance is deemed to occur upon:
- receipt of Candidate profiles,
- interview arrangement or participation,
- or any indication of interest in a Candidate.
4. Fees
4.1 Permanent Placement Fee
The Client agrees to pay a recruitment fee equal to:
16% of the Candidate’s total gross annual remuneration package, including salary, bonuses, and agreed benefits.
4.2 Fee Trigger
Fees become payable upon the earliest of:
- acceptance of a Candidate,
- confirmation of employment offer,
- commencement of employment or trial period,
- or any direct or indirect engagement of the Candidate.
5. Trial and Temporary Engagements
5.1 Trial Period
- £500 per week per Candidate
- payable in advance
- non-refundable
Trial periods do not replace permanent placement fees.
5.2 Temporary Placements
Temporary placements are defined as short-term engagements unless otherwise agreed.
- £250 per week per Candidate
- payable in advance
Conversion to permanent employment triggers full placement fee under Clause 4.
6. Non-Circumvention
The Client agrees not to:
- directly or indirectly employ or engage a Candidate introduced by the Agency outside agreed terms
- bypass the Agency in negotiations or communication
- share Candidate information with third parties
This obligation applies for 24 months from the date of introduction.
Any breach may result in liability for full placement fees and reasonable enforcement costs.
7. Payment Terms
7.1 All invoices are payable in GBP unless otherwise agreed.
7.2 Payments must be made to the Agency’s nominated account as stated on the invoice.
7.3 Payment obligations are strict and must be made without deduction, delay, or set-off.
7.4 All fees are non-refundable unless explicitly agreed in writing.
8. International Payments
The Client acknowledges that recruitment services may involve cross-border transactions.
Payment obligations remain valid regardless of jurisdiction, banking systems, or currency differences.
9. Currency
Where applicable, fees may be quoted in GBP, EUR, or USD.
Exchange rates applied shall be commercially reasonable and determined at the time of invoicing.
10. Replacement Policy
If a Candidate leaves within 30 days of commencement (and not due to Client breach), the Agency will provide a replacement search.
Replacement obligation is limited to up to three Candidate introductions.
No refunds apply.
11. Confidentiality
All Candidate information and Agency materials are confidential and must not be shared or used outside the recruitment process.
Candidate data remains the property of the Agency.
12. Liability
The Agency does not guarantee Candidate performance, conduct, or suitability beyond reasonable recruitment checks.
The Client is solely responsible for:
- employment decisions
- employment contracts
- legal compliance
The Agency shall not be liable for any loss, damage, or dispute arising from employment relationships.
13. Governing Law
These Terms are governed by the laws of England and Wales.
The parties agree to the exclusive jurisdiction of English courts.
14. Entire Agreement
These Terms constitute the entire agreement between the parties and override any prior discussions or representations.
Any amendments must be made in writing.
15. Acceptance
Use of the Agency’s services constitutes full acceptance of these Terms of Business.
